Altiris, Inc. (Nasdaq: ATRS) today announced changes to its board of directors in order to enhance the overall effectiveness of its board and maintain sound corporate governance practices. The Company named Gregory S. Butterfield, currently president and CEO of Altiris, to the additional title of chairman, replacing the resigning chairman Ralph J. Yarro III, a member of the board since 1998.

In addition, Mark Sunday, senior vice president and CIO of Siebel Systems, has been appointed to the board of directors and Michael J. Levinthal, a board member since 2002 and general partner of Thomas Weisel Venture Partners, has been appointed lead independent director, serving as a liaison between the chairman and the independent directors. In addition, Darcy G. Mott, a board member since 2000, has resigned.

“Altiris has taken major steps forward over the past several years and we believe this is the right time to broaden the skill set of the board and enhance the overall contribution from its members,” commented Ralph Yarro, outgoing chairman of the board. “We are confident that Greg’s leadership will continue to be highly instrumental in the success of Altiris in the future."

“I am delighted to be named chairman of what I believe is truly an exceptional board of directors, now strengthened by the addition of Mark Sunday and the appointment of Mike Levinthal to lead independent director,” commented Greg Butterfield, chairman, president, and CEO of Altiris. “We thank Ralph and Darcy for their leadership, commitment and vision for Altiris over the past several years.”

Butterfield went on to say, “We are fortunate to have attracted new board members of the caliber of Mark Sunday, who adds important industry expertise to our business planning processes. We expect that his broad experience in software and technology will quickly add important perspectives to our growth and expansion efforts.”

Mark Sunday has been with Siebel for five years, and has spent 25 years in information technology leadership positions at Motorola, ST Microelectronics, and Texas Instruments. He is intimately familiar with the systems management market and what solutions are needed to raise the efficiency and lower the cost of owning and supporting IT assets. He holds a BSE degree in engineering from the University of Michigan and an MBA from Southern Methodist University.

“Altiris is an exciting company with a tremendous future,” said Sunday. “The company is very well run with people that are some of the best in the industry at executing with leading industry partners and customers. They are also in a market space that is very relevant today because they can help save organizations time and money. I am excited to add my expertise to the talents of the other board members.”

These changes will leave the Altiris board of directors with one vacancy, which the board is actively seeking to fill with another independent director, as defined by NASDAQ Rules. This will bring the Altiris board to seven directors, six of whom will be independent.
